Yanfang Ren is a member of the CPC and a partner & attorney.She holds Master of Laws (American and International Law) from Temple University, Bachelor of Laws (Second Bachelor's Degree) from Tsinghua University, and Master of Economics (International Trade) from Beijing International Studies University.

She has served as the head of the legal department of state-owned and foreign-funded real estate groups for several years. As an attorney, she has worked as the legal advisor for large asset management companies, real estate groups and other corporations, trust and fund companies, and technology enterprises, covering all aspects of enterprise operation and management, with her specialities on design and restructure of top-level management structure, intellectual property rights, risk assessment, contract management, litigation management, labour and personnel matters, as well as wealth management and inheritance consultation for entrepreneurs, etc. Meanwhile, she has taken roles as a foreign business affair mediator of Chaoyang Primary People's Court, a member of the Company Law Committee of the Beijing Law Society, and a guest legal lecturer of Tsinghua University's Great Virtue Education Research Institute, Lawyers TV and Tsinghua Alumni Study Association.

• Leading teams to undertake civil, administrative and commercial arbitration/litigation, including cases of first and second instances and applications for retrial by the High People's Court.

• Leading teams to provide legal advice services for enterprises and corporations on a yearly basis, mainly in the areas of corporate governance, contract review, establishment of legal affairs system and regular legal consultation.

• Leading teams to provide large-scale specialised legal advisory services for enterprises, including:

① Equity design: designing top-level equity structure for enterprises, or designing and implementing equity incentive program, and providing advice on company's internal management system.

② Labour and personnel matters: providing enterprises with consultation and solutions on labour and personnel disputes; providing equity planning services to growing enterprises for employee equity incentives and share transformation program.

③ Contract management: providing year-round legal services for state-owned large-scale asset management corporations and other large-scale enterprises, institutions, associations, and trust, with services covering but not limited to, regular contract and compliance review, official template setting up, daily legal affairs handling, and internal training and consulting.

④ Investment and financing: helping companies assess the legal feasibility of investment and financing projects, conducting due diligence investigations and issuing legal opinions; building project programs/transaction structures, drafting important legal documents and participating in business negotiations.

⑤ Trust: providing project legitimacy argumentation for financial or non-financial institutions on issue, credit enhancement and subscription of trust products, and participating in the design of trust product transaction structure.

⑥ Internet business structure construction: participating in designing business models, revising franchise agreements and other important legal documents, etc.

Project Experience

• Established the corporation legal department, the contract review system and the litigation management system;

• Revised complete regulation and process related to company legal affairs, particularly from the perspective of compliance standardised corporate business processes, and provided legal support for company strategies development.

• Assisted HR to establish and improve all kinds of labour and personnel systems; responded to lawsuits related to company or participated in business negotiations, etc.

• Participated in the formulation of rules and regulations, contract management and the plan of HR system for a large-scale five-star foreign-funded business hotel (about 500 employees) to have its legal operation up and running.

• Designed and reconstructed company shareholding frameworks, shareholding entry and exit process and documents;

• Supported technology, internet, commercial and investment companies to set up equity incentive systems and regimes.

• Responded to regular internal and external legal disputes related with company, including business negotiations, labour and personnel matters.

• Helped settle historical debts for company; recovered outstanding fees for property and lease contracts (with one single case over 70 million RMB) in arrears for several years through legal proceedings and negotiation.
